HumanTrue's Terms of Use

These Terms of Use (“Terms”) govern your access to and use of our platform and services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

Use of the Service

HumanTrue provides a secure, cloud-based platform designed to assist with clinical trial operations. You may use the Services only in compliance with these Terms and all applicable laws and regulations.

We may update or improve the Services periodically. If we make a change that materially affects how you use the Services or how your data is handled, we will notify you in advance via appropriate channels, such as email or in-app alerts.

No PHI Without Agreement

HumanTrue is designed to function without needing Protected Health Information (PHI). Do not upload, input, or transmit PHI through our Services unless you have a signed Business Associate Agreement (BAA) with us.

If your use case requires PHI, please contact us first to execute a BAA. Without such an agreement, submitting PHI is a violation of these Terms and may result in immediate suspension or termination of access.

AI and Data Handling

Our Services incorporate AI technologies to support content generation and protocol interpretation. These models run in secure, enterprise-controlled environments. We never send customer data to public AI platforms, such as OpenAI, Anthropic, or similar services.

All subprocessors and infrastructure vendors are carefully vetted, and none are permitted access to your data unless strictly necessary for service delivery under appropriate contractual safeguards.

User Responsibilities

By using the HumanTrue platform, you agree to:

  • Use the Services only for lawful purposes
  • Not upload PHI unless authorized by a BAA
  • Not attempt to reverse-engineer, interfere with, or probe the system
  • Not use the platform to transmit unauthorized content or malware
  • Follow security best practices when using the Services (e.g., strong passwords, secure access)

HumanTrue reserves the right to investigate violations and suspend or terminate access if these Terms are breached.

Data Security and Backups

We apply industry-standard security measures to protect your information, including:

  • End-to-end encryption for data at rest and in transit
  • Role-based access controls
  • Audit logging and regular monitoring
  • Secure deployments within cloud environments such as AWS and Azure

We back up all production data at least daily and retain backups in secure, encrypted storage within the same geographic region unless otherwise required. Backup restoration is prioritized by impact, and backed-up data containing personally identifiable information (PII) or sensitive content is purged upon contract termination or request, where technically feasible.

Availability and Modifications

We strive to provide stable, uninterrupted service, but do not guarantee specific uptime or availability unless separately agreed upon in writing. Planned downtime or service interruptions that may affect availability will be communicated in advance when feasible.

We may modify, suspend, or discontinue the Services at any time, and will provide reasonable notice if the change materially affects your use or access.

Confidentiality

HumanTrue and its users agree to maintain the confidentiality of any proprietary or sensitive information exchanged as part of the service relationship. You retain full ownership of any data you input, and HumanTrue will not use that data for any purpose outside of providing and maintaining the service.

Termination

You may stop using the Services at any time. HumanTrue may suspend or terminate your access if:

  • You breach these Terms
  • You use the Services to transmit PHI without a BAA
  • Required by law or to protect system integrity

If you have a separate agreement or BAA in place, those terms will govern termination procedures related to PHI or service data.

Limitation of Liability

To the maximum extent permitted by law, HumanTrue shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities, arising out of or related to your use of the Services.

Governing Law

These Terms are governed by the laws of the State of Delaware, excluding its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
