HumanTrue End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and HumanTrue, Inc. ("HumanTrue," "Licensor," "we," or "us"), a Delaware corporation. This Agreement governs your use of the HumanTrue platform, software, applications, and related services and documentation (collectively, the "Licensed Application").

BY ACCESSING, INSTALLING, OR USING THE LICENSED APPLICATION, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE LICENSED APPLICATION.

License Grant

Subject to your compliance with this Agreement, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Licensed Application solely to support your contracted obligations as a CRO on behalf of trial sponsors and sites. This includes access to HumanTrue study documents, tools, and workflows.

For web-based access, this license permits use via https://app.humantrue.com, or a subdomain of https://app.humantrue.com on compatible devices you own or control. The license does not permit redistribution, sale, sublicensing, or use outside of authorized clinical trial projects unless explicitly permitted by Licensor in writing.

Restrictions

You may not:

  • Copy, modify, or create derivative works of the Licensed Application;
  • Reverse engineer, decompile, or disassemble any part of the Licensed Application;
  • Rent, lease, sell, sublicense, or distribute the Licensed Application to third parties;
  • Use the Licensed Application in violation of any applicable law or regulation.

User Responsibilities

You are responsible for:

  • Keeping your login credentials confidential;
  • Ensuring your use complies with applicable laws and regulations;
  • Maintaining the accuracy of any data you submit to the Licensed Application.

Privacy and Data Protection

HumanTrue collects and processes data in accordance with our privacy policy, which is incorporated by reference into this Agreement.

If you are subject to regional data protection laws, such as the EU General Data Protection Regulation (GDPR), UK Data Protection Act (DPA), or the U.S. Health Insurance Portability and Accountability Act (HIPAA), you agree to only use the Licensed Application in compliance with such laws. If PHI is to be processed, a separate Business Associate Agreement (BAA) must be executed.

Intellectual Property

HumanTrue retains all rights, title, and interest in and to the Licensed Application and all associated intellectual property. Your use of the Licensed Application does not grant you any ownership rights.

Updates and Modifications

We may update or modify the Licensed Application and this Agreement at any time. Material changes will be communicated to you. Continued use of the Licensed Application following such changes constitutes your acceptance of the revised terms.

Termination

This license is effective until terminated. HumanTrue may suspend or terminate your access to the Licensed Application at any time for any reason, including violation of this Agreement. Upon termination, you must cease all use and delete any copies in your possession.

Disclaimer of Warranties

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, HUMANTRUE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANTRUE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL HUMANTRUE'S LIABILITY EXCEED FIFTY U.S. DOLLARS ($50.00).

Indemnification

You agree to indemnify and hold harmless HumanTrue, its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses arising from your use of the Licensed Application or violation of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. Any dispute arising from or relating to this Agreement shall be brought in the courts located in King County, Washington, and you consent to the exclusive jurisdiction and venue of such courts.
